Terms of Service
1. Agreement
These terms are between KC SERVICES SDN. BHD. (Registration No. 202501058827 (1660233-W)) ("Chatolla", "we") and the business that signs up for Chatolla (the "Customer"). By using the service, the Customer accepts these terms on behalf of its business and confirms it has the authority to do so.
2. The service
Chatolla provides a customer messaging platform: website live chat, a shared team inbox, AI assistance and, when released, a connection to the WhatsApp Business Platform. Features are described on the Product page and may change over time.
3. Accounts and roles
The Customer decides who in its team has access and with which role. The Customer is responsible for activity under its accounts and must keep sign-in credentials secure.
4. Messaging rules
The Customer must:
- obtain and keep a record of each person's consent (opt-in) before sending business-initiated messages to them, and stop messaging a person promptly when they opt out;
- follow the terms and policies of every channel it connects, including, for WhatsApp, the WhatsApp Business Terms of Service and the WhatsApp Business Messaging Policy;
- use message templates and campaigns only for lawful content and only to people who have opted in; no spam, deception, or content that the channel's policies prohibit;
- comply with the laws that apply to its messages and to the personal data of the people it contacts.
The Customer is responsible for the content of its messages, templates and campaigns, and for its contact lists.
5. Third-party channels, including WhatsApp
A Customer that connects WhatsApp has its own agreement with Meta and keeps ownership of its WhatsApp Business Account. Meta charges the Customer directly for WhatsApp messaging; those charges are separate from our fees. Meta may review, limit or suspend a Customer's account or messaging, and we are not responsible for Meta's decisions. Chatolla is an independent service and is not endorsed by, or acting for, Meta or WhatsApp.
6. Data
The Customer remains responsible for the personal data of its end users and is the controller of that data. We process it on the Customer's instructions as described in our Privacy Policy. The Customer may disconnect a channel and request deletion at any time (see Data Deletion).
7. Suspension and termination
We may suspend or end access if the Customer breaks these terms, if its messaging puts a channel account or other customers at risk (for example, high spam or block rates), or if the law requires it. The Customer may stop using the service and close its workspace at any time.
8. Fees
Fees for Chatolla are those agreed with the Customer in writing or shown for its plan at sign-up. Channel charges, such as Meta's, are not included.
9. Availability and liability
We work to keep the service available but do not promise it will be uninterrupted or error-free. To the extent the law allows, we are not liable for indirect or consequential loss, and our total liability for any claim is limited to the fees the Customer paid us for the service in the 12 months before the claim.
10. Governing law
These terms are governed by the laws of Malaysia, and the courts of Malaysia have jurisdiction.
11. Changes
We may update these terms. For material changes we will give Customers reasonable notice; continued use after the notice period means acceptance.
